THE DIAMOND DATING LEAGUE TERMS OF SERVICE AGREEMENT
This is a Terms of Service Agreement (“Agreement”) between The Gathered Life (“Company”, “we”, “us”) and The Diamond Dating League Participant (“Participant” or “You”). By purchasing the Diamond Dating League (“Program”), You agree to the following terms and conditions:
1. Definitions
Confidential Information includes all proprietary and non-public information of Company which may be accessible by you, as a member of the Program, through digital or electronic communications such as e-mails, newsletters, social media groups and platforms. It includes all documents, techniques, formulas, methods, processes, algorithms, code, software, designs, uses, notes, trade and service marks, trade dress, trade secrets, images, video, audio, intellectual property, or login information.
Discontinuance refers to your discontinued use of this Program.
Effective Date refers to the date when this Agreement becomes effective, which will be 24 hours from the Execution Date.
Execution Date refers to the date this Agreement was signed by You.
Program refers to The Diamond Dating League program of The Gathered Life, LLC.
Removal refers to Your removal from the Program due to inappropriate, offensive, or harmful actions or behavior as described in Section V of this Agreement.
The Parties refers to Company and You collectively.
The Portal refers to the client portal for which you will be given login information.
You or Your refers to undersigned, the user of this Program.
Your Materials refers to your name, likeness, image, photograph, voice, and video as related to and in conjunction with your participation in the Program.
2. Authority, Capacity, and Age Requirement
You warrant that you are at least eighteen years old and have the capacity to enter into this agreement. You also warrant that you are entering into this agreement on behalf of yourself and not any other individual or entity.
3. Program
Duration. The Program will run for a total of 8 weeks which starts within twenty-four hours of the Execution Date. You may exercise your option to continue the program for a set monthly rate to be determined by Company.
Benefits. The program benefits include:

Weekly modules and homework assignments
2xs per Month live coaching calls with Bree Jenkins at Company
A individual session with a Personal Stylist or coach
Help Desk support during business hours
Private Facebook Group Access
4. Payment and NO REFUNDS POLICY
Modes of Payment. You may pay in full or choose a payment plan.
Full payment: $1997 USD.
Payment plan: 1 deposit of $497 and 4 consecutive monthly payments of $375 USD or $1997 USD total on the following plan:
$497 deposit at Execution Date of this agreement;
$375 made payable 30 days after the Execution Date;
$375 made payable 60 days after the Execution Date; and
$375 made payable 90 days after the Execution Date.
$375 made payable 120 days after the Execution Date.
Payment Plan Terms.
You agree to pay all monthly payments.
Once you choose a mode of payment, Removal or Discontinuance does not exempt you from making any payment due.
You authorize Company to charge any credit card or use any payment information you have provided for the purpose of making all monthly payments due.
NO REFUNDS. All fees paid by you to Company are NONREFUNDABLE. Removal or Discontinuance does not entitle you to a refund.
4. Removal or Discontinuance.
You are not exempt from making all payments due in case of Removal or Discontinuance. Company will NOT refund any fees already paid if you have been removed or you have discontinued or intend to discontinue use of The Program. You may be removed from the program for malicious, inappropriate, offensive, or harmful behavior towards Company employees, agents, or representatives. The behavior may be physical, verbal, or manifested through electronic or digital means such as through text, e-mail, social media, online forums or other similar means.
5. Termination
At the end of the 8-week period or upon Removal or Discontinuance, You agree to immediately and permanently delete all Company confidential information, and log-in details or passwords You were given access to for a limited period. This does not apply to nonconfidential information of the Company or any materials for which You have been given express permission from Company to continue to use for personal or professional but not commercial purposes.
6. Testimonial Review
You agree that after 60 days of service to provide either a written or video testimonial of your before and after experience working with Company and any relevant performance metrics which can be used by Company in accordance with 7 below.
7. Referrals
Assuming You are completely satisfied, You agree to provide at least 2 high quality referrals in order to help other daters to experience the benefits of Company work and to “pay it forward” for Your natural benefit.
8. Release and Assignment
You warrant that any statements, testimonials, or reviews you make about the Program will be correct, accurate, and truthful.
You authorize Company to use, reproduce, distribute, and disseminate any testimonials, statements, images, videos, audio, recordings, stories, blurbs, feedback, results, whether verbal or in writing or through digital or other media that describe, reference, or are related to your experience in the program.
You authorize Company to use Your Materials, as defined in Section 1 above, when related to and in conjunction with your participation in the Program.
You waive any right to royalties or compensation arising from or related to the use of Your Materials related to and in conjunction with your participation in the Program.
9. Disclaimer of All Warranties.
Company disclaims all representations and warranties, express and implied, including implied warranties of merchantability, and fitness for a particular purpose.
Company makes no warranties or guarantees on earnings, results, or level of success in relation to or arising out of the application of techniques, strategies, lessons, and other materials of the Program. You take full responsibility for your actions and choices.
Testimonials or statements from Company promotional materials or by coaches, agents, employees, or representatives are not guarantees of similar results, earnings, or levels of success.
10. Your Responsibilities and Earnings Disclaimer
You agree to take FULL RESPONSIBILITY of your actions and choices related to the Program. You agree to make best efforts in participating and executing all Program lessons, assignments, and course work, and will attend all scheduled sessions.
Company does not warrant or guarantee any earnings or results from the use, access, or participation in the Program.
You agree that results related to or arising from application of the Program will vary depending on circumstances outside of Company’s control such as your level of commitment, education, consistency, as well as external market factors.
You agree that similar to any endeavor or business venture, there is always a risk that you may not achieve your aspired level of success, results, or earnings despite application of what you may learn or acquire through the Program. You agree that there is a risk that you will incur monetary and non-monetary losses and will not hold Company responsible or liable for any injury or losses.
11. Confidentiality
Unless Company gives its prior express written consent, you will not use, teach, sell, share, provide, or make available to any third party any proprietary or Confidential Information of Company. You warrant, represent, and agree to hold all Confidential Information in trust and confidence, using all reasonable care to avoid unauthorized use, disclosure, or dissemination.
12. Intellectual Property
Company retains all rights, ownership, title, and interest in its proprietary works, Confidential Information, copyrights, trademarks, service marks, trade dress, trade secrets, and all other intellectual property. Company grants you a revocable license to use lessons, course work, and materials of the Program and to implement them in your personal and professional life or your business. The license does not include unauthorized sharing, sales, or for commercial purposes.
13. Force Majeure
Company will not be responsible for any breach, default, or delay due to force majeure or circumstances that may be unforeseeable or outside of its control such as natural calamities, labor strikes, signal or internet disruption, equipment malfunction, or illness of a pertinent employee, agent, or representative of Company
14. Limited Liability
Company will not be liable to you, any party related to you, or other third parties, for any damages, including those for losses for business profits or pecuniary in nature or any claims arising out of a theory of contract, warranty, tort, negligence, products liability and others.
15. Indemnification
At your own expense, you agree to defend, indemnify, and hold harmless Company, including its officers, employees, agents, and representatives, from any and all claims, actions, liabilities, injuries, damages, losses, costs, and expenses, including attorneys’ fees, arising out of, related to, or in connection with your use, access, or participation in the Program or any other services provided by Company
16. Non-transferability
You may not assign, transfer, or delegate any rights or obligations under this Agreement. Any unauthorized assignment, transfer, or delegation is void.
17. Entire Agreement and Amendments
This Agreement constitutes the entire agreement between The Parties and supersedes, whether oral or in writing, all prior proposals, representations, promises, or understandings related to the Program. Amendments or modifications must be made with prior consent in writing by the parties.
18. Non-Waiver
Unless made in writing, none of the provisions of this Agreement are considered waived by any act or acquiescence by Company, its officers, agents, employees, or representatives. Company Inc. reserves the right to enforce any provision of this Agreement. Acquiescence or failure to enforce any provision in this Agreement does not constitute a waiver of enforcing any or the same provision in this Agreement.
19. Counterparts
The Parties agree that this Agreement may be executed in counterparts. Each counterpart will be deemed an original and all counterparts together will be considered one instrument. Facsimile and PDF copies of signatures will be considered valid, binding, and as originals.
20. Dispute Resolution
Mediation as a Pre-Requisite to Filing Suit. In the event of a dispute related to, arising from or under, or in connection with this Agreement. The Parties agree to meet and confer in good faith and if necessary, enter into mediation before filing any claim, action, or lawsuit in a court of law. The Parties will bear the costs of a meet and confer and mediation equally. Should the Parties still fail to reach an amicable settlement after mediation, they may file appropriate suits in the applicable courts located in Los Angeles County.
Jurisdiction. Any dispute related to, arising from or under, or in connection with this Agreement will be governed and construed in accordance with the laws of the State of California without regard for its conflict of laws or choice of law principles or provisions.
Venue. The venue for any such dispute will exclusively be with the applicable courts located within Los Angeles County. The Parties expressly waive any objections to jurisdiction and venue as laid out in this provision.
Enforceability. This Agreement and any court order or judgment arising out of or related to it shall be enforceable in any applicable jurisdiction whether in the United States or worldwide.
Attorneys’ Fees and Costs of Suit. If a proceeding or action related to, arising under, or in connection with this Agreement is filed in a court of law, the prevailing party will be entitled to recover from the other party: the prevailing party’s costs and reasonable attorneys’ fees, which will be made part of any award or judgment rendered.
21. Effect of Headings.
The subject headings of the paragraphs of this Agreement are included for convenience only and shall not affect the construction or interpretation of any of its provisions.

23. Customer Feedback.
With your prior permission, you agree that the Company has the right to use your feedback whether in the form of emails, surveys, comments, discussions in Product related forums, calls, video calls, or otherwise, for the purposes of marketing or promoting the Program.
DIAMOND DATING LEAGUE TERMS OF SERVICE AGREEMENT
This is a Terms of Service Agreement (“Agreement”) between The Diamond Dating League DBA The Gathered Life (“Company”, “we”, “us”) and The Diamond Dating League (“Participant” or “You”). By purchasing the Diamond Dating League Program (“Program”), You agree to the following terms and conditions:
1. Participant Requirements.
You represent and warrant that you are at least eighteen years old and have the requisite authority to enter into this Agreement.
2. Conditions of Program Access.
You may be required to provide information about yourself including your name, email address, username and password and other personal information. You agree that any such information you provide will always be accurate, correct and up to date.
Only the customer on record with the Company may access the Program. You agree that the Program, including any usernames or passwords, will only be used by you as permitted herein and must not be sold or distributed without the Company’s express written consent.
Access may be revoked for failure to abide by this Agreement or for failure to make full and/or timely payments to the Company.
3. Program
Duration. The Program will run for a total of 8-weeks which starts within twenty-four hours of the Execution Date. The program material will be available on the online portal for a period of 12 months from the Execution Date.
The program benefits include:
Access to Kajabi containing the Program
The 8-Module Program made available on a weekly basis.
Twice monthly Live Q&A calls
The Diamond Dating League made available for 12 months after the Execution Date.
Help Desk support during business hours.
Private Group Access via Facebook for a period of 12 months from the Execution Date.
3. PAYMENT.
Below are the Diamond Dating Package, their fees, and available payment plans:
Standard Plan
Full payment of $1997 USD.
Deposit payment of $497. & Payment plan: 4 consecutive monthly payments of $375 USD.
4. Authorization.
You authorize Company to automatically charge the credit card on file for any and all balances owed. You agree to keep your payment and credit card information current and up-to-date with the Company. If any payment is insufficient or declined for any reason, Company may revoke your access to the Program.
5. REFUND POLICY
This program is nonrefundable. All sales are final.
6. DISCLAIMER OF EARNINGS AND RESULTS.
By purchasing the Program, you accept, agree and understand that you are fully responsible for your progress and results from your participation and that we offer no representations, warranties or guarantees verbally or in writing regarding your future earnings, business profit, marketing performance, or audience growth of any kind. The Company does not guarantee that you will get any results, earnings, or specific outcomes by using any of our ideas, tools, strategies or recommendations, or anything else accessed through the Program.
7. ERRORS, INACCURACIES, AND OMISSIONS.
Information provided about or in the Program is subject to change. Company makes no representation or warranty that the information provided, regardless of its source, is accurate, complete, reliable, current or error-free. Company disclaims all liability for any inaccuracy, error or incompleteness in the Program or Materials.
8. REFUSAL OF SERVICE.
We reserve the right to refuse access to the Program to any person or entity, without the obligation to assign reason for doing so. We may at any time change or discontinue any aspect or feature of the Program, subject to us fulfilling our previous responsibilities to you based on acceptance of your payment.
We reserve the right to immediately remove you from the Program without refund if you violate any provision in this Agreement.
9. Rules on Participant Conduct.
You shall not post or transmit through the Program any material which violate or infringe the rights of others, or which is threatening, abusive, defamatory, libelous, invasive of privacy or publicity rights, vulgar, obscene, profane or otherwise objectionable, contains injurious formulas, recipes, or instructions, which encourages conduct that would constitute a criminal offense, give rise to civil liability or otherwise violate any law. You may use the Program only for lawful and legitimate purposes.
10. Third-Party Disclaimer.
The Program or Materials may contain links to third party websites and resources. You acknowledge and agree that we are not responsible or liable for the availability, accuracy, content or policies of third-party websites or resources. Links to such websites or resources do not imply any endorsement by or affiliation with the Company. You acknowledge sole responsibility for and assume all risk arising from your use of any such websites or resources.
11. Our Intellectual Property.
You agree that the Program and Materials contain proprietary information that is owned by the Company and is protected by copyright, trademark and other applicable intellectual property laws. You will not use the Program or Materials in a manner that constitutes an infringement of the Company’s rights or that has not been authorized by the Company. The use of the Company’s Program or Materials, except as permitted herein, is strictly prohibited and infringes on the intellectual property rights of the Company and may subject you to civil and criminal penalties, including possible monetary damages, for infringement on the Company’s intellectual property rights.
12. Limited License Grant.
Company grants you a limited, personal, non-exclusive, non-transferable license to access the Program and Materials for your own personal and non-commercial use. Except as otherwise provided, you acknowledge and agree that you have no right to modify, edit, copy, sell, distribute, duplicate, lease, reproduce, create derivative works of, reverse engineer, alter, enhance or in any way exploit any of the Program or Materials in any manner or medium (including by email or other electronic means). You shall not remove any copyright notice or author designation from any part of the Program and Materials.
13. Limited Liability.
Company will NOT be liable for any indirect, special, consequential, or punitive damages (including lost profits) arising out of or relating to these Agreement or the transactions it contemplates (whether for breach of contract, tort, negligence, or other form of action) and irrespective of whether the Company has been advised of the possibility of any such damage. In no event will the Company’s liability exceed the price the Customer actually paid to the Company for the Program.
14. Force Majeure.
Company will not be liable for any failure or delay on its part caused by force majeure or forces beyond its control such as natural disasters, strikes, work stoppages, accidents, acts of war or terrorism, civil or military disturbances, loss or malfunctions of utilities, disruption of signal, communications, internet, communications, computer (software or hardware) services and similar circumstances. In the event of injury or illness of Company officer, employee, agent, or representative, who is specifically tasked or assigned for a specific service for Client, Company reserves the right to postpone and make alternative reasonable arrangements for Client.
15. Indemnification.
You shall indemnify and hold us harmless from and against any and all losses, damages, settlements, liabilities, costs, charges, assessments and expenses, as well as third party claims and causes of action, including, without limitation, attorneys’ fees, arising out of any breach by you of any of these Agreement, or any use by you of the Program. You shall provide us with such assistance, without charge, as we may request in connection with any such defense, including, without limitation, providing us with such information, documents, records and reasonable access to you, as we deem necessary. You shall not settle any third-party claim or waive any defense without our prior written consent.
16. Governing Law; Venue; Mediation.
This Agreement is governed by the laws of the State of California and any and all related disputes must be handled exclusively in the applicable federal or state courts located in Los Angeles County. We agree to attempt to resolve any dispute, claim or controversy arising out of or relating to this Agreement by mediation. We further agree that good faith participation in mediation is a condition precedent to pursuing any other available legal or equitable remedy, including litigation, arbitration or other dispute resolution procedures.
17. Recovery of Litigation Expenses.
If any legal action, arbitration, or other proceeding is brought for the enforcement of this Agreement, or because of an alleged dispute, breach, default, or misrepresentation related or arising from this Agreement, the prevailing party or parties shall be entitled to recover reasonable attorneys’ fees and other costs incurred in that action or proceeding, in addition to any other relief to which it or they may be entitled.
18. Entire Agreement.
This Agreement constitutes the entire agreement between you and the Company pertaining to the Program and supersedes all prior and contemporaneous agreements, representations, and understandings between us.
19. Effect of Waiver.
